Terms of Service

1. Acceptance of these terms

By accessing or using CalenTick (the "Service"), creating an account, or booking, rescheduling, or managing an appointment through the Service, you agree to be bound by these Terms and by our privacy policy, which is incorporated here by reference. If you are entering into these Terms on behalf of a company or other organization, you represent that you have authority to bind that entity, and "you" refers to that entity. If you do not agree to these Terms, you must not use the Service.

2. The service

CalenTick provides scheduling tools that let you and your customers book meetings and appointments across multiple channels, including an embeddable website booking page, WhatsApp booking, an AI booking assistant, and an AI voice agent. The Service also offers calendar synchronization, automated reminders, self-service rescheduling and cancellation, time-zone handling, and routing features. We may add, change, or remove features over time. We aim for high availability but do not guarantee that the Service will be uninterrupted, error-free, or available at any particular time.

3. Accounts and eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your account credentials, and for all activity that occurs under your account. Notify us promptly at anooppalaz@gmail.com if you suspect any unauthorized use. You are responsible for the conduct of any team members, collaborators, or end users you invite to your account.

4. Acceptable use

You agree not to use the Service to:

• violate any applicable law, regulation, or third-party right;
• send spam, unsolicited messages, or communications that breach messaging, telemarketing, or anti-spam rules in any jurisdiction where your recipients are located;
• upload or transmit malware, attempt to gain unauthorized access to the Service, or interfere with its security or integrity;
• reverse engineer, scrape, resell, or build a competing product from the Service except to the extent this restriction is prohibited by law;
• impersonate any person or misrepresent your affiliation with any person or entity.

You are solely responsible for obtaining any consents required to contact your customers by email, SMS, WhatsApp, or voice, and for the content of the messages and prompts you configure. 5. Bookings and third-party calendars and messaging

The Service connects to third-party services such as Google Calendar, Microsoft Outlook, and WhatsApp to read availability and create bookings on your behalf. Your use of those third-party services is governed by their own terms and privacy policies, and we are not responsible for their availability, accuracy, or actions. You authorize CalenTick to access and modify connected calendars and to send communications you have configured. CalenTick is a scheduling facilitator only; we are not a party to any appointment, transaction, or relationship between you and the people who book with you, and we are not responsible for missed, declined, or disputed appointments.

6. Fees and billing

CalenTick offers a free plan and one or more paid plans. Fees, billing cycles, and plan limits are described on our pricing page and are incorporated into these Terms. Unless stated otherwise, paid plans are billed in advance on a recurring basis, are non-refundable except where required by law, and renew automatically until cancelled. You authorize us and our payment processors to charge your payment method for all applicable fees and taxes. We may change our prices on reasonable prior notice; changes take effect at the start of your next billing period. Failure to pay may result in suspension or termination of paid features.

7. Intellectual property

The Service, including its software, design, text, and trademarks, is owned by CalenTick Inc. and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You retain all rights to the content and data you submit ("Your Content"), and you grant us a license to host, process, and display Your Content solely to provide and improve the Service. You are responsible for ensuring you have the rights necessary to submit Your Content.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements, that AI-generated suggestions, transcriptions, or bookings will be accurate or complete, or that the Service will be secure, uninterrupted, or free of errors. You are responsible for reviewing automated bookings and communications.

9. Limitation of liability

To the maximum extent permitted by law, CalenTick Inc. and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or related to your use of the Service, even if advised of the possibility of such damages. Our total aggregate liability for all claims relating to the Service will not exceed the greater of the amounts you paid to us in the twelve months before the event giving rise to the claim or one hundred US dollars (USD 100).

10. Indemnification

You agree to defend, indemnify, and hold harmless CalenTick Inc. and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Service, Your Content, your communications with end users, or your breach of these Terms or applicable law.

11. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access immediately if you breach these Terms, if required by law, or to protect the Service or other users. Upon termination, your right to use the Service ceases and we may delete Your Content in accordance with our privacy policy, subject to legal retention requirements. Sections that by their nature should survive termination, including those on fees owed, intellectual property, disclaimers, limitation of liability, indemnification, and governing law, will survive.

12. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles, and you and CalenTick Inc. submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not subject to a separate arbitration agreement. Nothing in this section limits any mandatory consumer rights that apply where you live.

13. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.
